Service Agreement

1. Company Information

Throughout this Agreement, 'Indux Media', 'Company', 'we', 'our', and 'us' refer to Indux Media. 'Client', 'you', and 'your' refer to the customer purchasing or using our services.

2. Services Provided

Indux Media offers professional digital marketing, branding, web development, and AI-powered business solutions, including but not limited to:

• Search Engine Optimization (SEO)
• Local SEO
• Google Business Profile Optimization
• Website Design & Development
• E-Commerce Website Development
• Google Ads Management
• Meta Ads Management
• Social Media Marketing
• Content Marketing
• Branding & Graphic Design
• Video Editing
• AI Automation Solutions
• Lead Generation Services
• Performance Marketing
• Online Reputation Management
• Marketing Consulting

The specific services, deliverables, pricing, and timelines shall be outlined in proposals, invoices, quotations, service plans, or written communications between Indux Media and the Client.

3. Project Scope

The agreed scope of work shall be limited to the services specifically mentioned in the proposal, quotation, invoice, service package, or written agreement. Any additional work requested by the Client that falls outside the agreed scope may require:

• Additional fees
• Additional timelines
• Separate approval

Indux Media reserves the right to refuse requests that fall outside the agreed scope.

4. Client Responsibilities

The Client agrees to:

• Provide accurate information.
• Provide required content, images, logos, branding assets, and credentials.
• Respond to requests and approvals in a timely manner.
• Ensure all submitted materials are legally owned or properly licensed.
• Make payments according to agreed schedules.

Project delays caused by missing information, delayed approvals, or lack of cooperation from the Client may result in timeline extensions.

5. Payment Terms

The Client agrees to pay all invoices according to the agreed payment schedule. Unless otherwise agreed in writing:

• Projects may require an advance payment before work begins.
• Monthly services are payable in advance.
• Outstanding invoices may result in suspension of services.
• Late payments may attract administrative fees and interest where permitted by law.

All applicable taxes, GST, government duties, and regulatory charges shall be payable by the Client.

6. No Guarantee of Results

Indux Media uses industry best practices and professional expertise to deliver services. However, the Client acknowledges that Indux Media cannot guarantee:

• Specific Google rankings
• First-page search engine placement
• Traffic increases
• Lead generation volumes
• Sales growth
• Advertising performance
• Social media growth

Results depend on numerous factors beyond the control of Indux Media, including market conditions, competition, search engine algorithms, and platform policies.

7. Advertising Services

For advertising campaigns managed by Indux Media:

• Advertising budgets remain the responsibility of the Client.
• Advertising spend paid to Google, Meta, LinkedIn, YouTube, or other platforms is separate from management fees unless otherwise stated.
• Platform policy changes, account suspensions, ad disapprovals, and algorithm updates are beyond the control of Indux Media.

Indux Media does not guarantee advertising outcomes.

8. SEO Services

SEO is an ongoing process that depends on multiple variables. The Client acknowledges that:

• Search engine rankings cannot be guaranteed.
• Search engines frequently update algorithms.
• Competitor actions may impact rankings.
• Results may take weeks or months to become visible.

Indux Media will provide SEO services according to industry best practices but does not guarantee ranking positions.

9. Intellectual Property Rights

The Client retains ownership of materials provided to Indux Media. The Client represents that all supplied materials are legally owned or properly licensed. The Client agrees to indemnify and hold harmless Indux Media from any claims relating to materials supplied by the Client.

10. Ownership of Deliverables

Upon receipt of full and final payment:

• Ownership of approved deliverables shall transfer to the Client.
• Indux Media retains ownership of proprietary methodologies, frameworks, templates, software, AI systems, automation workflows, and internal tools.

Any third-party software or licensed assets remain governed by their respective licensing agreements.

11. Revisions

Unless otherwise specified in the proposal:

• Reasonable revisions may be included.
• Excessive revisions may incur additional charges.
• Major changes after approval may be treated as new work.

Indux Media reserves the right to determine whether requested changes fall within the agreed scope.

12. Confidentiality

Both parties agree to maintain confidentiality regarding:

• Business information
• Marketing strategies
• Financial information
• Customer information
• Proprietary processes

Confidential information shall not be disclosed without written consent unless required by law.

13. Third-Party Services

Indux Media may utilize third-party providers including:

• Google
• Meta
• Instagram
• Facebook
• LinkedIn
• YouTube
• Shopify
• WordPress
• Hosting providers
• AI platforms
• Analytics tools

Indux Media is not responsible for failures, interruptions, policy changes, outages, pricing changes, or restrictions imposed by third-party services.

14. Limitation of Liability

To the fullest extent permitted by law, Indux Media shall not be liable for:

• Indirect damages
• Consequential damages
• Business losses
• Loss of profits
• Loss of data
• Loss of goodwill
• Advertising losses

The total liability of Indux Media shall not exceed the amount paid by the Client for the specific service giving rise to the claim. Nothing in this Agreement excludes liability arising from fraud, willful misconduct, or violations of applicable law.

15. Indemnification

The Client agrees to indemnify, defend, and hold harmless Indux Media, its employees, contractors, affiliates, and representatives against any claims, damages, liabilities, costs, or expenses arising from:

• Client-provided content
• Copyright infringement
• Trademark disputes
• Defamation claims
• Illegal business activities
• Regulatory violations by the Client

16. Termination

Either party may terminate services by providing written notice. Upon termination:

• Outstanding payments become immediately due.
• Work completed prior to termination remains billable.
• Access to services may be revoked.
• Deliverables shall be released according to payment status.

Advance payments remain subject to the Refund Policy.

17. Non-Solicitation

During the engagement and for twelve (12) months after completion, neither party shall knowingly solicit for employment any employee or contractor directly involved in the project without prior written consent.

18. Force Majeure

Indux Media shall not be liable for delays or failures caused by circumstances beyond reasonable control, including:

• Natural disasters
• Government actions
• Internet outages
• Cyberattacks
• Power failures
• Pandemics
• Platform outages
• Acts of war or civil unrest

19. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of India. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India. Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation.

20. Modifications

Indux Media reserves the right to modify this Service Agreement at any time. Updated versions shall be published on www.induxmedia.com and become effective immediately upon publication. Continued use of Indux Media services constitutes acceptance of the revised Agreement.

21. Entire Agreement

This Service Agreement, together with the Terms and Conditions, Privacy Policy, Refund Policy, proposals, invoices, and written communications, constitutes the entire agreement between Indux Media and the Client. No oral statements or representations shall modify this Agreement unless confirmed in writing.
